1. Agreement to Terms

By accessing or using VALORIZD (https://www.valorizd.app), you agree to be bound by these Terms of Service. If you do not agree, please do not use the service. VALORIZD is operated by an individual based in the European Union, and these Terms are governed by Italian law.

2. Description of Service

VALORIZD is a download gate platform for artists and creators. It lets you create "gates" — landing pages where visitors must complete one or more social actions (such as following an account on Instagram, YouTube, or SoundCloud) before accessing a reward, which can be a file download or an external URL.

VALORIZD is offered under a freemium model with the following plans: Free, Pro, and Studio. Features and limits vary by plan.

3. User Accounts

3.1 Eligibility & Registration

  • You must be at least 13 years old to create an account
  • You must provide accurate, complete, and up-to-date information at registration
  • Each person may hold only one account
  • You are responsible for keeping your login credentials secure

3.2 Username

  • Usernames must be unique and may not impersonate another person or brand
  • Usernames cannot be transferred between accounts
  • We reserve the right to reclaim usernames that violate these rules
  • You may change your username, but changes are subject to a cooldown period

4. Acceptable Use

4.1 Permitted Uses

  • Create download gates for your own original content
  • Promote your social media presence and grow your audience
  • Use the analytics and insights provided by the platform
  • Share your public profile and gates with your audience

4.2 Prohibited Uses

  • Upload or distribute content that infringes third-party copyright or other intellectual property rights
  • Create gates with misleading, deceptive, or false reward claims
  • Use the platform for spam, phishing, or malware distribution
  • Artificially inflate view or unlock counts
  • Attempt to reverse engineer, exploit, or circumvent platform security
  • Violate the Terms of Service of any social media platform linked in your gates (Instagram, YouTube, SoundCloud, etc.)
  • Violate any applicable law or regulation

Violation of these rules may result in immediate account suspension or termination without refund.

5. Content & Intellectual Property

5.1 Your Content

You retain full ownership of all content you upload (reward files, cover images, profile photos, brand logos). By uploading content, you grant VALORIZD a non-exclusive, worldwide, royalty-free license to host, store, and serve that content solely as necessary to operate the service.

You represent and warrant that you have all rights necessary to upload and distribute your content, and that it does not infringe any third-party rights.

5.2 Platform

The VALORIZD platform, including its design, code, branding, and features, is the exclusive property of the operator and is protected by copyright and other applicable laws. You may not copy, modify, or redistribute any part of it without prior written permission.

6. Payment & Billing

  • Paid subscriptions (Pro, Studio) are billed in advance on a monthly or annual basis via Stripe
  • All prices are displayed in USD and exclude applicable local taxes, which are your responsibility
  • Payments are non-refundable except where required by applicable law (including Italian consumer protection law for EU users)
  • We reserve the right to change pricing with at least 30 days' advance notice; continued use after the effective date constitutes acceptance
  • Failure to pay may result in downgrade to the Free plan or suspension of your account
  • You may cancel your subscription at any time; access continues until the end of the current billing period

7. Privacy & Data

Our collection and use of your personal data is described in our Privacy Policy, which forms an integral part of these Terms. By using VALORIZD, you acknowledge that you have read and understood the Privacy Policy.

8. Service Availability

We aim to keep VALORIZD available at all times but cannot guarantee uninterrupted access. We may perform maintenance, apply updates, or experience technical issues that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime in advance.

9. Disclaimer of Warranties

VALORIZD is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VALORIZD and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including loss of profits, data, or audience reach. Our total aggregate liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under EU or Italian law.

11. Termination

You may delete your account at any time from your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

We may suspend or terminate your account without prior notice if you materially breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Where feasible, we will provide advance notice and the opportunity to remedy the breach.

12. Changes to Terms

We may update these Terms at any time. For material changes, we will notify you by email or via an in-app notification at least 14 days before the changes take effect. Your continued use of VALORIZD after the effective date constitutes acceptance of the updated Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of Italy. Any dispute arising from or relating to these Terms or the use of VALORIZD shall be subject to the exclusive jurisdiction of the courts of Italy, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence.
